Members Services Agreement

MEMBER SERVICES AGREEMENT

This Member Services Agreement ("Agreement") is entered into by and between the Company and the individual accessing or registering to participate in the Company’s systems ("Member"). By signing up, accessing, or continuing to participate, the Member agrees to be legally bound by the terms outlined below.


1. NATURE OF ENGAGEMENT

The Member participates on a flexible, performance-based arrangement. This Agreement does not create any form of employment, partnership, agency, or joint venture.

  • The Member is not entitled to employee benefits, insurance, or protections.

  • The Member is solely responsible for taxes, levies, and any applicable legal obligations.

  • The Company retains no control over the Member’s working hours, but strictly enforces output-based performance standards.


2. SCOPE OF SERVICES

The Member agrees to:

  • Use their own LinkedIn account and LinkedIn Sales Navigator subscription.

  • Conduct outbound outreach to generate qualified appointments.

  • Follow messaging frameworks, scripts, and targeting instructions provided by the Company.

  • Represent the Company professionally at all times.

The Company reserves the right to modify outreach strategies, scripts, or targeting at any time.


3. PERFORMANCE REQUIREMENTS (KPIs)

The Member must consistently meet the following:

  • Minimum 400 outreach messages per month.

  • Maintain a daily booking/appointment rate between 2.5% and 6%.

  • Maintain a healthy LinkedIn account with no restrictions.

  • Accurately update tracking sheets daily.

Additional expectations:

  • Maintain response quality and avoid spam-like behavior.

  • Follow daily/weekly targets communicated by the Company.

  • Attend required meetings or check-ins if requested.

Failure to meet KPIs at any time may result in immediate termination without prior notice.


4. ACCOUNT RESPONSIBILITY & PLATFORM RISK

The Member acknowledges:

  • They are solely responsible for their LinkedIn account.

  • The Company does not provide replacement accounts.

  • Any restriction, ban, or limitation is the Member’s responsibility.

The Member must:

  • Follow all Company-provided safety guidelines.

  • Avoid automation tools unless explicitly approved.

  • Avoid excessive messaging that may trigger platform restrictions.

Any damage to account health due to negligence may result in termination.


5. DATA TRACKING & REPORTING

The Member agrees to:

  • Update all outreach and appointment data daily.

  • Record accurate figures in the Company’s tracking systems.

  • Ensure transparency in all reporting.

Strict prohibitions:

  • Fake appointments

  • Inflated metrics

  • Duplicate or misleading entries

Any violation will result in immediate termination and possible forfeiture of pending payments (except valid commissions as defined below).


6. COMPENSATION STRUCTURE

6.1 Monthly Remuneration

  • Paid only if all KPIs are fully met.

  • Partial performance does not qualify for partial payment unless approved by the Company.

  • The Company retains full discretion in validating performance before releasing payment.

6.2 Revenue Share (Commission)

The Member is entitled to:

  • 5% commission on closed deals originating from their appointments.

  • Commission continues as long as the client remains active and paying.

Conditions:

  • Attribution is determined solely by the Company.

  • Commission may be withheld if fraud, misreporting, or policy violations are detected.


7. PAYMENT TERMS

  • Payments are processed monthly.

  • Commission payments may follow client billing cycles.

  • The Company may delay payments for verification, disputes, or operational reasons.

The Member agrees not to dispute reasonable delays required for validation.


8. TERMINATION

The Company may terminate access immediately without notice if:

  • KPIs are not met

  • Reporting is dishonest

  • Account safety guidelines are violated

  • The Member damages Company reputation

  • Inactivity or lack of participation is observed

Post-Termination Terms

  • Monthly remuneration is forfeited if KPIs are not met.

  • Valid commission continues only on eligible deals.

  • Commission may stop if:

    • Fraud is discovered

    • The deal attribution is disputed

    • The client churns


9. INTELLECTUAL PROPERTY

All materials provided by the Company remain its exclusive property, including:

  • Scripts

  • Lead lists

  • Systems and processes

  • Messaging frameworks

The Member may not reuse, distribute, or replicate these outside the Company.


10. CONFIDENTIALITY

The Member agrees to permanently protect all confidential information, including:

  • Leads and client data

  • Business strategies

  • Pricing models

  • Internal tools

This obligation continues indefinitely after termination.


11. NON-CIRCUMVENTION & NON-SOLICITATION

The Member agrees that during and after participation:

  • They will not contact, close, or attempt to close Company leads independently.

  • They will not redirect leads to other businesses.

  • They will not build competing databases using Company data.

Violation may result in legal action and forfeiture of all earnings.


12. NON-COMPETE (LIMITED)

During active participation:

  • The Member may not perform similar outreach services for direct competitors using the same systems or strategies.


13. LIMITATION OF LIABILITY

The Company is not liable for:

  • Account bans or restrictions

  • Income loss

  • Technical issues or downtime

Total liability, if any, shall not exceed the last paid monthly remuneration.


14. INDEMNIFICATION

The Member agrees to indemnify and hold the Company harmless from:

  • Misuse of platforms

  • Violation of third-party policies

  • Legal claims arising from outreach activities


15. DISPUTE RESOLUTION

  • All disputes shall first be resolved internally.

  • The Company retains final decision-making authority on operational disputes.


16. MODIFICATIONS

The Company may update this Agreement at any time.

Continued participation constitutes acceptance of updated terms.


17. ENTIRE AGREEMENT

This document represents the entire agreement between the parties and overrides any prior discussions.


18. ACCEPTANCE

By registering or participating, the Member confirms:

  • They have read and understood this Agreement

  • They agree to all terms without exception
